Search the log error number for error code Err=3 OS error 3 indicates “file not found”. This looked like a SQL 2000 upgrade artifact in the registry. Folder MSSQL and FTDATA were missing at the location “D:\SQL2005\MSSQL.1\”.Create an empty folder at that location and reran the setup.
