I think this is a hardware problem but firstly try to install windows using alternative distribution package, if the problem persists you need to check hardware: 1) Disconnect all connectors from the motherboard, disconnect RAM and connect it again. One thing you might try is loading the recovery console and from there rename the existing file. ren c:\windows\system32\ntdll.dll ntdll.bad and run chkdsk /r on the drive while you are there. First, is this a retail or OEM XP CD you are using? If not, that might be the problem. But this looks like it might be an issue with 3rd party CD or burning software drivers or settings.
